Private Companies
- If your shareholders/stakeholders are already registered users on QuotaBook, their names are automatically shown and you cannot modify their information due to security matters.
- If their status is 'uninvited' (meaning they are yet to be invited to join QuotaBook), you can edit their information by clicking on More > Edit.
- If their status is 'joined' or 'invited', you need to request shareholders/stakeholders to update their information. To update your information, click the person icon in the top right corner of the screen and go to My Accounts > Account.
- Displayed information varies depending on the level of permission granted to each shareholder.
- You can modify the level of permission by clicking on the ellipsis (⋮) on the right side of the shareholder list. Default permissions include access to ‘Securities Ownership’, and ‘Invited Agenda’.
- To transfer shares, go to Securities > Shares and click on the ellipsis (⋮) on the right side of the shareholder list, then click Transfer. Next, add information about who will be the recipient of the transferred securities and the transferring stakeholder.
- To add a recipient who is not already on your cap table, click Add Stakeholder. If you already registered the stakeholder on QuotaBook, you can select the stakeholder from the dropdown.
- Afterward, enter the details of the transfer (for example, transfer date, number of shares transferred, and share price) before you save the changes. Once you click Submit, the transfer will be recorded and changes should be reflected in your cap table.
- Stock option is a form of equity compensation to incentivize employees with the right to buy a certain number of shares in the company's stock for a set price. It aligns employees’ interests with that of the shareholders. The stock option contract outlines all the details of an employee's option grant, including the number of options, vesting schedule, vesting start date, exercise price, and more.
- You can create and digitally sign stock option contracts on QuotaBook.
- First, go to the Options page located on the left navigation bar under Securities. Click on the ellipsis (⋮) on the right side of the list, and click Delete.
- You cannot delete an option that is already verified by its grantee or whose grant date is in the future. Please request the deletion to QuotaBook customer success team at support@quotabook.com or through chat.
- If you entered incorrect data and need to change the initially entered data, go to the Shares page located on the left navigation bar under Securities. Next, click on the ellipsis (⋮) on the right side of the list, and click ‘Edit Initial Values'.
- If you need to make changes to shares issued (ex. in the event of a stock split or bonus share issuance), go to the Shares page located on the left navigation bar under Securities and click on ‘Share Changes (in bulk)’ then ‘Modify Shares’.
- First, go to the Shares page and click on the ellipsis (⋮) on the right side of the list, then click ‘Edit Initial Values' to update round information.
- If you need to add or delete a round, click on ‘Manage Rounds’ button on the Shares page.

Investors

- Portfolio companies invited to QuotaBook by their investors can enjoy a wide range of benefits, including a free Investor Referral Plan that offers cap table management features for free and discounts on software and services provided by our partners.
- Invite your companies over to QuotaBook so that they can simplify equity management, which in return simplifies your portfolio management.
- From the fundraising stage, you can start managing funds on QuotaBook.
- From [Fund Management] → [Funds], click on [Create Fund] from the upper right.
- Update fund information and click [Submit]. (If you do not have much information about the fund at this stage, simply update the * required fields first. You can always update or edit fund information later on.)
- Check that your fund has been newly added to the fund list. Click on it to be directed to the fund’s overview page.
If you have funds in multiple currencies, please check the currency dropdown on the upper right and select a currency to view the funds in that specific currency.
- On QuotaBook, you can log multi-currency investments and quickly check your overall investments in the fund’s main currency or the investment’s original currency.
- When updating investments, select the currency in which the investment has been made. If the selected currency of investment is different from the fund’s main currency, extra fields will be automatically populated for you to update investment details in both the fund and investment currency.
- Once updated, you can toggle on/off the currency button from the upper right of the investment list to see investments calculated in fund’s currency or to see them in the original investment currency.
- In order to see data of your portfolio companies, you must first ask them to give you permission.
- Please reach out to the companies directly, which will be able to add you to their data page following the steps here (주주초대 서포트 페이지 링크 추가).
If your portfolio companies are not using QuotaBook yet, you can invite them over to the platform so that they can join and update their information by themselves (and we can help you with this so please reach out to us!). If not, you can share with us the updated data and we will update the data for your on behalf of the companies.
You can keep track of internal and external conversations regarding the company and have it shared amongst your colleagues. Leave notes on investment points, business updates, exit strategy and more on QuotaBook so that all your communications are streamlined on the platform to be shared within your firm.
- Please try out ‘meta data’ feature to categorize your portfolio companies in specific industries, stages, countries and so on.
- From the list of your companies, click on the company name of your choice. Then from the [Overview] tab, click on the pencil icon next to [Meta Data] on the right of the page to create meta data tags to manage your companies in categories.
